1. Introduction / Scope
This Acceptable Use Policy (“AUP”) governs all access to and use of TechBrot Inc.’s website (techbrot.com), systems, software configurations, communications, client portals, and all related bookkeeping, consulting, advisory, and operational Services (collectively, the “Services”).
By accessing or using the Services, you agree to comply with this AUP, the Terms & Conditions, the Privacy Policy, the Data Processing Addendum (DPA), and all applicable laws and regulations. If you do not agree, you must immediately discontinue use of the Services.
2. Permitted Use
You may use TechBrot Services only:
- For legitimate, lawful business purposes related to bookkeeping, account setup, advisory, or consulting services.
- In compliance with all applicable U.S. federal, state, and international laws.
- In accordance with the Terms & Conditions (including payment authorization, non-refund, and anti-chargeback clauses).
- Only using accurate, lawful, and non-misleading data or credentials.
- In accordance with all third-party application terms (QuickBooks, Intuit, banks, payment processors, etc.).
3. Prohibited Activities
The following activities constitute strict violations of this AUP. TechBrot reserves the right to suspend or terminate access without notice for violations.
3.1 Illegal, Unlawful, or Harmful Use
- Using the Services to violate any federal, state, or international law.
- Submitting fraudulent, deceptive, or misleading documentation or financial information.
- Engaging in identity theft, financial fraud, tax evasion, or regulatory evasion.
- Using Services for money laundering, OFAC-restricted transactions, or sanction-prohibited activities.
3.2 Security & System Abuse
- Attempting to gain unauthorized access to TechBrot accounts, systems, servers, or databases.
- Circumventing authentication, MFA, or security protections.
- Deploying or transmitting malware, ransomware, viruses, spyware, keyloggers, or harmful scripts.
- Conducting DDoS attacks, probing system vulnerabilities, or attempting to compromise infrastructure.
- Using bots, automation, or scraping tools to interfere with system functionality.
3.3 Misrepresentation, Abuse & Harassment
- Falsely implying partnership, affiliation, endorsement, or sponsorship by TechBrot.
- Harassing, threatening, bullying, or abusing employees, clients, or third parties.
- Providing false payment information, unauthorized card/ACH details, or performing friendly fraud.
- Engaging in reputational harm, slander, or defamatory actions against TechBrot or its staff.
- Submitting unauthorized personal data or violating privacy obligations.
3.4 Intellectual Property & Content Violations
- Copying, redistributing, or replicating TechBrot content without permission.
- Reverse engineering, modifying, or attempting to disassemble software or proprietary systems.
- Uploading or distributing copyrighted materials not owned or licensed by the user.
3.5 Fraud, Spam & Misuse of Communications
- Sending unsolicited commercial emails, SMS, or spam through or relating to our Services.
- Engaging in phishing, spoofing, or impersonation.
- Using Services to conduct scams, fraudulent financial activities, or unauthorized payment transactions.
3.6 Data Misuse & Compliance Violations
- Submitting data obtained unlawfully or without proper consent.
- Uploading Personal Data prohibited under GDPR, CCPA, or other privacy laws without proper basis.
- Storing or transmitting sensitive data (government IDs, banking data, payroll) without security controls.
4. User Responsibilities
- Maintain secure passwords and account credentials.
- Provide accurate and complete information for service delivery.
- Promptly notify TechBrot of any suspected account compromise or unauthorized activity.
- Ensure compliance with all data protection rules (GDPR, CCPA, CPRA, etc.).
- Ensure you have lawful rights to all data you provide.
5. Enforcement & Remedial Actions
TechBrot may take any enforcement action deemed necessary, including:
- Immediate suspension or termination of your account or access to Services.
- Blocking IPs, accounts, devices, or network ranges.
- Reporting violations to payment processors and financial institutions.
- Providing evidence to law enforcement authorities.
- Recovering financial damages, legal costs, and outstanding balances.
- Retaining evidence for regulatory or litigation purposes.
Note: As outlined in the Terms & Conditions (Sections 6, 7, 8), fees are non-refundable, and clients remain liable for all payments even after termination for policy violations.
6. Liability Limitations
Users are solely responsible for consequences arising from misuse, illegal activity, or AUP violations. TechBrot assumes no liability for damages resulting from user misconduct, misuse, or failure to comply. Liability limitations follow the Terms & Conditions (Sections 12 & 14).
7. Third-Party Services & External Platforms
Use of third-party software (QuickBooks, payroll systems, analytics tools, payment processors, etc.) is subject to those respective terms. TechBrot is not responsible for third-party outages, errors, data losses, or policy enforcement. Users must comply with applicable third-party obligations.
8. Compliance With Privacy, Security & Data Laws
Users must not upload or submit content that violates:
- GDPR (EU/EEA)
- CCPA / CPRA (California)
- U.S. federal privacy and cybersecurity laws (FTC Act, GLBA, CFAA)
- State financial privacy and consumer protection rules
- Any applicable data residency or data localization laws
Users are responsible for ensuring they have a lawful basis to process, submit, or share any personal or financial data with TechBrot (refer to DPA Section 2 and 3).

10. Updates to This AUP
TechBrot may revise or update this AUP at any time. Updates are effective upon posting. Continued use of the Services constitutes acceptance of updated terms. Material changes may be communicated via email or displayed prominently on the Site.
