1. Acceptance of Terms

2. Website Terms vs. Engagement Agreement
These Terms govern your use of this website only. They do not constitute an agreement for accounting, bookkeeping, payroll, or any other professional services.
If you engage TechBrot to provide services, that relationship is governed by a separate written engagement agreement (including the applicable scope of work and, where relevant, our Data Processing Terms). In the event of any conflict between these website Terms and a signed engagement agreement, the engagement agreement controls with respect to the services. Nothing on this website creates a client relationship; a client relationship arises only upon a signed engagement agreement.
3. Eligibility
This website is intended for businesses and for individuals who are at least 18 years of age and able to form a binding contract. By using the website, you represent that you meet these requirements and that any information you provide is accurate.

11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the website shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision.
